Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of Cypher Pay, operated by Cypherwave Technologies Limited (“Cypherwave”, “we”, “us”, or “our”). By registering for an account, signing in, or using any part of the Service, you agree to these Terms and our Privacy Policy.
If you are using Cypher Pay on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
1. The Service
Cypher Pay is a fintech client portal that may provide, depending on your account configuration and eligibility:
- Fiat account access and IBAN-linked balances via partner banking rails
- Domestic and cross-border fund transfers and payment instructions
- Crypto wallets / vaults and digital-asset transfers
- Crypto-to-fiat and fiat-to-crypto conversion flows
- Payment card features (including issuance or top-up where enabled)
- Transaction history, reporting, and related account management tools
Features available to you may differ based on your profile, jurisdiction, KYC status, and partner-rail enablement. We may add, modify, suspend, or discontinue features at any time.
2. Eligibility and account registration
- You must be legally capable of entering into binding contracts and authorized to use the Service.
- You must provide accurate, complete, and up-to-date registration and KYC information.
- You are responsible for safeguarding login credentials and any devices used for two-factor authentication.
- You must promptly notify us of any unauthorized access or suspected compromise of your account.
- We may refuse, suspend, or terminate accounts that fail verification checks or present elevated risk.
3. KYC, AML, and compliance
Cypher Pay and its banking/payment partners are subject to anti-money laundering, counter-terrorist financing, sanctions, and related compliance requirements. You agree to:
- Complete identity and business verification when requested
- Provide supporting documents and respond to ongoing due-diligence requests
- Use the Service only for lawful purposes and with funds from legitimate sources
- Accept that transactions may be delayed, blocked, reversed, or reported where required by law or partner policy
Failure to satisfy compliance requirements may result in restricted functionality or account closure.
4. Banking and payment partners
Fiat accounts, transfers, cards, and settlement may be provided through third-party licensed institutions and payment service providers. Crypto custody, wallet operations, and conversions may likewise be provided by specialized partners. By using those features you acknowledge that:
- Partner terms, cut-off times, fees, and operational limits may apply in addition to these Terms
- Settlement finality depends on the relevant rail, network, or partner process
- Cypherwave may share necessary account and transaction data with partners to execute your instructions
- Partner outages or regulatory actions may affect availability of balances or payments
5. Fund transfers and payment instructions
- You are solely responsible for the accuracy of beneficiary details, amounts, currencies, and references.
- Once submitted and accepted for processing, certain payment instructions may be irreversible.
- We may decline or delay instructions that appear incomplete, duplicate, fraudulent, or non-compliant.
- Displayed balances may be provisional until funds are fully settled and cleared.
- Fees, FX spreads, and partner charges may apply and will be disclosed where practicable before confirmation.
6. Crypto wallets and conversions
- Digital-asset markets are volatile. Values can change rapidly and you may lose some or all of an asset’s value.
- Blockchain transactions are generally irreversible once broadcast and confirmed.
- You are responsible for verifying wallet addresses, networks, and asset types before sending or receiving crypto.
- Conversion rates, liquidity, and processing times are determined by market conditions and conversion partners.
- We do not provide investment, trading, or tax advice. Crypto features are transactional tooling, not a brokerage recommendation.
7. Cards
Where card products are enabled for your account, use of cards is subject to these Terms, applicable card-scheme rules, and the terms of the issuing or acquiring partner. You must not misuse cards, share card credentials, or attempt to circumvent spending, geographic, or compliance controls.
8. Acceptable use
You agree not to:
- Use the Service for illegal activity, fraud, sanctions evasion, or money laundering
- Impersonate another person or misrepresent your affiliation or source of funds
- Interfere with platform security, attempt unauthorized access, or reverse engineer the Service
- Introduce malware, scrape without permission, or overload systems
- Use the Service in a way that harms Cypherwave, partners, other users, or payment networks
9. Fees
Fees may include account charges, transfer fees, conversion spreads, card fees, and partner pass-through costs. Applicable fees may be shown in the portal, agreed separately, or applied per your commercial arrangement. You authorize us and our partners to deduct fees from available balances where permitted.
10. Intellectual property
Cypher Pay branding, software, interfaces, and related content are owned by Cypherwave or its licensors. You receive a limited, non-exclusive, non-transferable right to access the Service for your internal business use in accordance with these Terms. You may not copy, modify, or distribute our materials without prior written consent.
11. Disclaimers
The Service is provided on an “as available” basis. To the fullest extent permitted by law, Cypherwave disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from third-party delays, network congestion, or partner outages.
12. Limitation of liability
To the maximum extent permitted by applicable law, Cypherwave and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, business interruption, or crypto market losses, arising from or related to your use of the Service.
Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total fees you paid to Cypherwave for the Service during the three (3) months preceding the claim, except where liability cannot be limited by law (including death or personal injury caused by negligence, or fraud).
13. Indemnity
You agree to indemnify and hold harmless Cypherwave from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, inaccurate instructions, violation of these Terms, or infringement of third-party rights, except to the extent caused by our willful misconduct.
14. Suspension and termination
We may suspend or terminate access immediately if we reasonably believe you breached these Terms, failed compliance checks, pose fraud or security risk, or if required by a partner or regulator. You may stop using the Service at any time. Provisions that by nature should survive (including compliance, liability, and indemnity) will survive termination.
14.1 Your balances on closure
Closing or suspending an account does not forfeit your funds. Subject to completed compliance checks and any legal hold, block, or partner restriction, you may withdraw remaining fiat balances to a verified account in your name and transfer remaining digital assets to a wallet address you control. We will tell you what is required to release funds and will process valid withdrawal requests without undue delay once those requirements are met.
Where funds cannot be released — for example because a sanctions match, court order, or regulatory instruction prevents it — we will hold them and notify you to the extent we are legally permitted to do so. Digital assets that we can no longer support may need to be withdrawn within a reasonable notice period we specify.
15. Changes to the Terms
We may update these Terms periodically. The “Last updated” date indicates the latest version. Where a change materially affects your rights, fees, or how you use the Service, we will give you reasonable advance notice by email or through the portal before it takes effect, except where an urgent security, legal, or regulatory need requires immediate change.
If you do not agree to a change, you may close your account before it takes effect and withdraw your balances under clause 14.1 at no additional charge. Continued use after the effective date constitutes acceptance.
16. Governing law
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Terms, subject to any mandatory consumer or regulatory protections that cannot be waived.
17. Complaints
If something goes wrong, email bobby@cypher-pay.com with your account details and what happened. We will acknowledge your complaint, investigate it, and respond within a reasonable period. Where a complaint concerns a service delivered by a banking, card, or custody partner, we may refer it to that partner. Nothing here removes any right you have to escalate to a relevant ombudsman or regulator.
18. General
- Severability: if any provision is held unenforceable, the remainder stays in force.
- No waiver: failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign these Terms without our written consent. We may assign or transfer them to an affiliate or in connection with a merger, reorganization, or sale of assets.
- Force majeure: neither party is liable for delays or failures caused by events beyond reasonable control, including network, blockchain, partner, or infrastructure outages.
- Notices: we may contact you at the email address on your account or through the portal; notices to us should go to the address in clause 19.
- Entire agreement: these Terms, the Privacy Policy, and any commercial arrangement agreed with you form the entire agreement and supersede prior discussions.
- Third parties: no person other than you and Cypherwave has any right to enforce these Terms.
